Business Software Staff Training

Business management tools are designed to be very user friendly. Previously, staff would have to sit through long staff training meetings but this is no longer the case. If training is needed for a large number of staff then the software provider will be able to arrange this either offsite or at the business location. Technical Requirements

The technical requirements behind the installation of business management software are minimal. An operating system such as Windows XP Professional or Windows 2000 Professional or similar is required. There may be some changes needed to hardware or business networks but the provider's technical support team should be able to implement this.

The Business Model and types of Plants

DesiPower has been working on a program for providing electricity and energy services in villages jointly with local partners who establish local small scale industries, businesses and agro-forestry for value addition and job creation. In order to ensure that both the enterprises become self-reliant and profitable within a reasonable time, the "Business Plans" of the Independent Rural Power Producer (IRPP) and the village organisation (which may be the village Panchayat, a company, a co-operative, or a NGO) are evolved jointly and simultaneously. For commercial success, the power plant has to sell as much electricity as it can generate and the villagers have to produce and sell their products profitably.

The IRPP ensures the reliable and affordable supply of electricity and energy services based on locally available renewable energy resources such as agricultural residues and other biomass. The local partner organisation, on its part, ensures the supply of the biomass and the purchase of adequate amounts of electricity at agreed prices. A women's group is encouraged and supported to take charge of the energy service activities such as cooking and lighting for households.

A mutually beneficial partnership is thus created under which reliable power supply and energy services ensure local job creation and income generation, while the assured off-take of power and energy services ensures a profitable operation of the IRPPs.

Decentralised Energy Systems India Private Ltd. (DesiPower) Decentralised Energy Systems India Private Ltd., DesiPower, has been formed to supply electricity and energy services to two distinct decentralised electricity markets:

� Captive power plants for small scale industries which depend upon diesel generators (due to unreliable grid supply).

� Independent Rural Power Producers (IRPPs) for villages and semi-urban areas.

While the technology and the management of the engineering, procurement and construction (EPC) activities will be practically the same for the two business sectors, the business model for each of them has to be tailor made to the specific conditions of the load and financing in each market segment.

Seasonal business activity

Seasonal businesses are businesses that conduct activity no more than two quarters per calendar year.


To register your seasonal business, file a Master Business Application. You must indicate which quarter(s) you will be conducting business.


The two quarters in which you conduct business, may or may not be consecutive, but must be the same quarters every year.

Example: If you sell holiday crafts during quarters 3 and 4, you must sell them during quarters 3 and 4 every year to qualify as a seasonal business.

Your business will remain as a seasonal account with the Department of Revenue until you close your business.

Temporary & seasonal businesses

The state welcomes your temporary business and wants to assist you by making the registration process as easy and convenient as possible. A temporary registration certificate may be issued to anyone who operates a business of a temporary nature.

Temporary business is defined as no more than two events each year with each event lasting no longer than one month.

Each temporary business certificate is valid for one event only. There is no charge for this temporary registration.

Business structures

When starting a business, there are several different types of business structures to choose from, such as a sole proprietorship, a partnership, or a corporation.

A Sole Proprietorship is one individual or married couple in business alone. Sole proprietorships are the most common form of business structure. This type of ownership is simple to form and operate, and may enjoy greater flexibility of management, less legal regulation, and fewer taxes. However, the business owner is personally liable for all debts incurred by the business.

A General Partnership is composed of two or more persons (usually not a married couple) who agree to contribute money, labor, or skill to a business. Each partner shares the profits, losses, and management of the business, and each partner is personally and equally liable for debts of the partnership. Formal terms of the partnership are usually contained in a written partnership agreement.

A Limited Partnership is composed of one or more general partners and one or more limited partners. The general partners manage the business and share fully in its profits and losses. Limited partners share in the profits of the business, but their losses are limited to the extent of their investment. Limited partners are usually not involved in the day-to-day operations of the business. Filing with the Office of the Secretary of State is required.

A Limited Liability Partnership (LLP) is similar to a General Partnership except that normally a partner does not have personal liability for the negligence of another partner. Filing with the Office of the Secretary of State is required. Professionals such as accountants and lawyers use this business structure most commonly.

A Corporation is a more complex business structure. As a chartered legal entity, a corporation has certain rights, privileges, and liabilities beyond those of an individual. Doing business as a corporation may yield tax or financial benefits, but these can be offset by other considerations, such as increased licensing fees or decreased personal control. Corporations may be formed for profit or nonprofit purposes. Filing with the Office of the Secretary of State is required.

A Limited Liability Company (LLC) is composed of one or more individuals or entities through a special written agreement. The agreement includes: provisions for management, ability to assign interests, and distribution of profits and losses. Limited liability companies are permitted to engage in any lawful, for-profit business or activity other than banking or insurance. Filing with the Office of the Secretary of State is required.

A Massachusetts Trust is an unincorporated business with the property being held and managed by the trustees for the shareholders. The trustees are considered employees since they work for the trust. Filing with the Office of the Secretary of State is required.

Advertising Income

Income from advertising is subject to the business and occupation (B&O) tax under the service and other activities classification.
Subscription Income

The taxability of subscription income depends on what the subscription provides to the customer. Some examples are:

Retail Sales: If the subscription entitles the subscriber to download a product or publication, including standard information sold to any consumer, the income is subject to retailing B&O tax and retail sales tax if the subscriber/purchaser is in Washington. Examples of retail downloads include music files, video files, and information files that are sold to multiple users.
Access Charges (Application Service Providers) If the subscription entitles the subscriber to read, use, or access information or software applications online but does not allow for the subscriber to download software applications, products, or publications, the income is subject to B&O tax under the service and other activities classification (sales tax does not apply) based on the service being provided in Washington (not dependent on where the customer is located).

Data processing services:
Charges for data processing services performed in this state are subject to service and other activities B&O tax (sales tax does not apply). "Data processing services" include, word processing, data entry, data retrieval, data search, information compilation, payroll processing, business accounts processing, data production, and other computerized data and information storage or manipulation. "Data processing services" also includes the use of a system for data processing.
